By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Definitions
- "Dealer" means a business or individual that registers for a subscription to list vehicles and access dealer tools on the Platform.
- "Visitor" or "User" means any person who accesses the Platform, including buyers browsing listings.
- "Listing" means any vehicle, image, description, price, badge, or other content posted by a Dealer.
- "Content" means any text, images, data, or other material posted to or made available through the Platform.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Platform. Dealers represent that they are authorized to sell the vehicles they list and to bind the business they represent.
3. Accounts and Dealer Subscriptions
To list vehicles or access dealer features, you must register for an account and select a subscription plan. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account.
4. Subscriptions, Billing, and Cancellation
Subscription tiers, features, and pricing are described at the point of purchase and may change with notice. Unless stated otherwise:
- Subscriptions renew automatically at the end of each billing period until cancelled.
- Fees are billed in advance and are non-refundable except where required by law.
- You may cancel at any time; cancellation takes effect at the end of the current billing period.
We may suspend or terminate access for non-payment.
5. Dealer Listings and Content
Dealers are solely responsible for their Listings and any Content they post, including accuracy of vehicle descriptions, pricing, availability, history, and any required disclosures. By posting Content, you represent that:
- The Content is accurate and not misleading;
- You have all rights necessary to post it, including rights to any images; and
- The Content does not infringe any third party's rights or violate any law.
You grant AllCarsListed a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute your Content for the purpose of operating and promoting the Platform. We may, but are not obligated to, review, edit, or remove any Content that we believe violates these Terms or applicable law.
6. Role of the Platform
AllCarsListed is a listing and lead-generation platform. We connect Dealers with prospective buyers; we are not a party to, and are not responsible for, any transaction between a Dealer and a buyer. We do not own, inspect, warrant, or guarantee any vehicle listed on the Platform, and we make no representations about the condition, legality, or fitness of any vehicle. Any sale, financing, trade-in, or other transaction is solely between the Dealer and the buyer.
7. Acceptable Use
You agree not to:
- Use the Platform for any unlawful, fraudulent, or deceptive purpose;
- Post false, misleading, or unauthorized Listings or Content;
- Interfere with or disrupt the Platform, its security, or its infrastructure;
- Scrape, harvest, or collect data from the Platform without our written permission;
- Reverse engineer, copy, or create derivative works from the Platform; or
- Misuse buyer or Dealer contact information, including for unsolicited marketing not permitted by law.
8. Intellectual Property
The Platform, including its software, design, text, graphics, badges, and logos (excluding Dealer Content), is owned by or licensed to AllCarsListed and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose. No other rights are granted.
9. Third-Party Services and Links
The Platform may contain links to or integrations with third-party services (such as payment processors). We are not responsible for the content, policies, or practices of any third party.
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLCARSLISTED WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE [TWELVE (12)] MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless AllCarsListed and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your Content, your use of the Platform, or your violation of these Terms or any law.
13. Termination
We may suspend or terminate your access at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination will survive.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a revised "Last updated" date and, where appropriate, provide additional notice. Continued use after changes take effect constitutes acceptance.
